EXPAND YODEL – Special Pricing Agreement

This Agreement (“Agreement”) is entered into by and between Yodel, Inc. (“Yodel”) and the Customer of Chamber Nation (“Customer”), each individually referred to as a “Party” and collectively as the “Parties.”


1. PURPOSE

This Agreement establishes the terms under which Chamber Nation will integrate Yodel’s event data feed into its products and offer Yodel at special pricing as a co-branded solution available to Chamber Nation customers.

2. INTEGRATION OF YODEL DATA FEED

2.1 Integration Scope

Yodel shall provide Chamber Nation with access to its event data feed, enabling Chamber Nation to incorporate Yodel’s curated event information into its customer-facing platforms.

2.2 Event Curation

Yodel will curate and aggregate community event data based on Customer requests submitted through an order form provided by Yodel.

Yodel maintains a 90% curation rate for event calendars, contingent upon the accuracy and proper formatting of source data provided by event organizers.

While Yodel strives for comprehensive coverage, it does not guarantee that all events will be processed. Yodel’s accuracy depends on timely and accurate data from external organizers.


Yodel will notify Chamber Nation or the Customer of data issues when identified. Documentation and formatting guidelines will be provided to optimize data accuracy.


Reasons for Uncurated Sources include:

  • Inconsistent data formats incompatible with Yodel’s algorithms
  • Non-textual data (e.g., event details in images or PDFs)
  • Frequent structural changes on source websites
  • Missing or improper semantic HTML or structured data markup
2.3 Technical Support

Yodel shall provide reasonable technical support, including access to its API, documentation, and troubleshooting assistance.

Chamber Nation will provide first-level support to Customers and escalate unresolved issues to Yodel. If incorrect event data is identified, Chamber Nation will promptly notify Yodel for resolution.

2.4 Data Use

Yodel’s event data may only be used by Chamber Nation within its platform to serve its customers.
 Yodel data may not be sublicensed, redistributed, or shared with any third party beyond Chamber Nation customers without prior written consent from Yodel.

3. CO-BRANDING & RESELLING

3.1 Co-Branded Offering

Chamber Nation shall present Yodel’s event data feed as a co-branded, discounted feature within its products. Both Parties agree to display each other’s logos and branding per mutually approved guidelines.

3.2 Resale Rights

Chamber Nation is authorized to resell access to Yodel’s event data feed as part of its client offerings under the special pricing terms set forth in this Agreement.

3.3 Marketing & Promotion

The Parties shall collaborate on marketing initiatives, including joint promotional materials, public announcements, and sales collateral as mutually agreed upon in writing.

4. PRICING & PAYMENT

4.1 Pricing and Payment Structure

All costs and payment terms are specified in Exhibit A, which forms an integral part of this Agreement. Any modifications to pricing or terms must be made in writing and signed by both Parties.

5. TERM & TERMINATION

5.1 Term

This Agreement commences on the Effective Date and continues for one (1) year. It shall automatically renew for successive one-year terms unless either Party provides written notice of termination at least thirty (30) days before the renewal date.

5.2 Termination for Cause

Either Party may terminate this Agreement with thirty (30) days’ written notice if the other Party materially breaches its obligations and fails to cure such breach within the notice period.

5.3 Effect of Termination

Upon termination, Chamber Nation and its Customers shall cease using Yodel’s data.
 All outstanding payments shall become immediately due.
 Sections related to Confidentiality, Intellectual Property, and Indemnification shall survive termination.

6. INTELLECTUAL PROPERTY, LICENSE, AND NON-EXCLUSIVE AGREEMENT

6.1 Ownership

Each Party retains full ownership of its respective intellectual property and proprietary materials.

6.2 License

Yodel grants Chamber Nation and its Customers a limited, non-exclusive, revocable license to use Yodel’s event data solely under the terms of this Agreement.

6.3 Non-Exclusive Agreement

This Agreement is non-exclusive. Both Parties may enter into similar arrangements with third parties. No sales quotas or volume commitments are required.

7. CONFIDENTIALITY

7.1 Definition

“Confidential Information” includes all non-public or proprietary information disclosed under this Agreement, whether written, oral, or electronic.

7.2 Obligations

Each Party shall maintain the confidentiality of the other’s Confidential Information and shall not disclose or use it except as necessary to fulfill obligations under this Agreement.

8. WARRANTIES & LIABILITY

8.1 Mutual Warranties

Each Party represents and warrants that it has the authority to enter into this Agreement and perform its obligations.

8.2 Limitation of Liability

Except for breaches involving confidentiality, intellectual property, or willful misconduct, neither Party shall be liable for indirect, incidental, or consequential damages arising out of this Agreement.

9. GENERAL PROVISIONS

  • 9.1 Governing Law: This Agreement shall be governed by and construed under the laws of the State of Texas.
  • 9.2 Assignment: Neither Party may assign its rights or obligations without the prior written consent of the other Party.
  • 9.3 Entire Agreement: This Agreement, including Exhibit A, represents the entire understanding between the Parties and supersedes all prior agreements, whether oral or written.

  • Small (up to 15,000 population) $135   
  • Medium (15,000–80,000 population) $175   
  • Large (80,000–500,000 population) $225   Invoicing & Payment Terms
  • Chamber Nation initiates purchases by providing client/community details to Yodel.
  • Chamber Nation issues monthly invoices to Customers.
  • Payments are due within 30 days of the invoice date.
  • Late payments accrue interest at 1.5% per month on unpaid balances.
